Piergiorgio Zettera, Partner at Studio Internazionale, has assisted Solaria Energia Generacion Renovable S.L., belonging to the Spanish Group Solaria Energia y Medio Ambiente S.A. and listed in the Madrid, Barcelona, Bilbao and Valencia Stock Exchanges, in the acquisition of the remaining stake (50%) of Serre UTA, an Italian 5.8 MWp photovoltaic plant located in the Municipality of Uta (Cagliari-Sardinia).
Solaria Energia Generacion Renovable S.L. has been supported in the M&A matters by a legal team lead by Piergiorgio Zettera.
Both Studio Internazionale’s legal and tax teams have assisted Solaria Energia Generacion Renovable S.L. in the due diligence process, negotiations and finalization of the relevant agreements for the completion of the acquisition.

In the recent case of Ketua Pengarah Hasil Dalam Negeri Malaysia v Ehsan Armada Sdn Bhd [2023] MLJU 2906, the Court of Appeal held that payment made by Ehsan Armada Sdn Bhd, a developer (“Taxpayer“) to the Lembaga Perumahan dan Hartanah Selangor (“LPHS”) to exempt itself from building low-cost housing, was not deductible under Section 33(1) of the Income Tax Act 1967 (“ITA”), as it is capital in nature.
